Article I- Introduction:
These terms and conditions, hereinafter referred to as the “Agreement,” establish the legally binding terms for the utilization of iTech Digital’s digital marketing financing services, hereinafter referred to as the “Services.” By accessing or utilizing the Services, the User signifies their acceptance of this Agreement, as well as iTech Digital’s Privacy Policy (accessible at [insert URL here]). In the event that the User does not agree to be bound by this Agreement and the Privacy Policy, they are not authorized to utilize the Services.
Article II- Description of Services:
iTech Digital offers financing options to businesses seeking digital marketing services, including but not limited to search engine optimization (SEO), on-page and off-page optimization, social media marketing, pay-per-click (PPC) advertising, design services, content writing, and web and mobile application development. The Services provide flexible payment plans and terms, as well as low interest rates.
Article III- Eligibility:
To be eligible for the utilization of the Services, the User must be a business located within the United States and meet the credit criteria established by iTech Digital’s financing partners. To receive financing for digital marketing services, the User must enter into a 13-month contract for an agreed-upon amount between both parties. The User must provide accurate and complete information in connection with their financing application. iTech Digital LLC reserves the right to reject any application at its sole discretion. By signing this Agreement, the User also authorizes iTech Digital LLC to sell the remaining contract amount to third parties and/or invoice factoring agencies.
Article IV- Terms of Financing:
The terms of the financing shall be determined by iTech Digital’s financing partners, based on factors including the User’s creditworthiness. The User agrees to repay the financed amount according to the terms agreed upon with iTech Digital’s financing partners. Late or missed payments may result in additional fees or penalties and may have a negative impact on the User’s credit score.
Article V- Use of Services:
The Services are intended for commercial use only and may not be utilized for personal, household, or consumer purposes. In the event of failure to repay the amount due to an invoice factoring company, iTech Digital LLC, or a third-party financing company, iTech Digital LLC reserves the right to cease providing digital marketing services and/or any services agreed upon, and to utilize all legal remedies to collect the remaining funds for the duration of this contract. The User may not assign or transfer their rights or obligations under this Agreement without the prior written consent of iTech Digital.
Article VI – Liability and Indemnification:
It is hereby agreed that iTech Digital shall not be held liable for any damages resulting from the utilization of the Services. The user of the Services shall indemnify and keep harmless iTech Digital, its affiliates, officers, agents, and employees, from any and all claims, damages, costs, and expenses (including reasonable attorney’s fees) arising from or related to the use of the Services.
Article VII – Termination:
The parties agree that this Agreement may be terminated by either party at any time, with or without cause, by providing written notice to the other party. In the event of termination, the user shall be obligated to repay the outstanding balance of the financed amount in accordance with the terms agreed upon with iTech Digital’s financing partners.
Article VIII – Governing Law:
It is agreed that this Agreement shall be governed and construed in accordance with the laws of the United States, without giving effect to any conflict of laws provisions.
Article IX – Dispute Resolution:
